Welcome to the internet services operated by Uniwal! This Uniwal User Agreement (hereinafter referred to as this "Agreement") is entered into between you and Shanghai Suwalper Functional Decor Materials Co., Ltd. (hereinafter referred to as "Uniwal" or "we"). It applies to your browsing of, registration with, logging into, and use of the Uniwal official website, as well as the various services accessible through official website links, including the Dealer Zone, the Inventory Query System, and the Uniwal Mall.
Please read this Agreement carefully and fully understand all of its terms, especially those that exempt or limit Uniwal's liabilities, restrict users' rights, or define the dispute resolution mechanism (such terms may be highlighted in bold). You are not entitled to register, log in, or use the relevant services unless you have read and accepted all terms of this Agreement. By completing registration, logging in, or commencing use of any service, you are deemed to have read and agreed to be bound by all terms of this Agreement.

This Agreement is an agreement between you and Uniwal concerning the use of the internet services operated by Uniwal. "User" means an individual or organization that registers, logs in to, or uses the aforementioned services; "you" in this Agreement refers to the user.
The services to which this Agreement applies (collectively, the "Uniwal Services" or "Services") include:
· (1) Uniwal Official Website: provides browsing of public information such as company brand introduction, product display, news, and contact details (hereinafter referred to as the "Official Website");
· (2) Dealer Zone: an exclusive area open to Uniwal's partner dealers, where, after registration and login, users may view and download product materials, promotional assets, training documents, etc. (hereinafter referred to as the "Dealer Zone");
· (3) Inventory Query System: a system enabling authorized users, after registration and login, to query the inventory level of Uniwal products and other information (hereinafter referred to as the "Inventory Query System");
· (4) Uniwal Mall: a platform enabling users, after registration and login, to browse products, add items to the shopping cart, and use related display functions (hereinafter referred to as the "Uniwal Mall").

Uniwal Services may from time to time publish special rules, campaign terms, transaction rules, etc. (collectively, the "Special Rules"). Once formally published, the Special Rules become an integral part of this Agreement, and you shall likewise comply with them. In the event of any inconsistency between this Agreement and the Special Rules, the Special Rules shall prevail.
If you are under 18 years of age, please read this Agreement in the company of your legal guardian and use the Uniwal Services only after obtaining the guardian's consent.
Browsing the public information on the Official Website generally does not require account registration; however, to use functions such as the Dealer Zone, the Inventory Query System, and the Uniwal Mall, you must first complete the corresponding registration and log in.
When applying for registration, you shall provide true, accurate, lawful, and valid information (such as entity name, contact person, mobile number, email address, dealer qualification information, etc.) and update it promptly. You shall bear all consequences arising from false, inaccurate, or incomplete information.
You shall bear legal responsibility for all activities and events conducted under your account. You shall properly keep your account and password by yourself, and shall not transfer, lend, sell, or otherwise allow any other person to use your account or password. If you discover that your account is being used unlawfully by another person or that a security vulnerability exists, you shall immediately notify Uniwal. Uniwal shall not be liable for any loss arising from the loss or theft of your account or password due to your failure to safeguard it properly.
Ownership of the Uniwal Services account belongs to Uniwal. Upon completing registration, you obtain the right to use the account, and such right to use belongs solely to the initial registering entity and may not be gifted, lent, leased, transferred, or sold.
To protect account resources and safeguard data security, Uniwal reserves the right to suspend services, restrict functions, or close accounts that have not been logged into for a prolonged period (for example, continuously exceeding 6 months).
You have the right to apply for cancellation of your account in accordance with the procedure published by Uniwal. After cancellation, you will no longer hold the rights and interests associated with the account, and the related personal information will be processed in accordance with the Uniwal Privacy Policy.
You may browse public information on the Official Website. The intellectual property rights in the content of the Official Website (including text, images, videos, layout design, etc.) belong to Uniwal or the relevant right holders, and may not be used for commercial purposes without permission.
Dealer Zone materials are provided exclusively to registered authorized dealers for reasonable use within the scope of their own business operations. You shall not use the Zone materials for resale, external distribution, offering for sale of non-Uniwal products, or any other purpose that infringes upon Uniwal's rights and interests; without Uniwal's written permission, you shall not copy, adapt, redistribute, or publicly display the Zone materials.
You may query the inventory level of products and other information within your authorized scope. System data is updated periodically at a fixed frequency (for example, every 15 minutes) and is for reference only, and does not constitute any supply or contractual commitment. Uniwal does not provide an absolute guarantee as to the timeliness and accuracy of the data.
In the Uniwal Mall, you may browse products, log into your account, and add products to your shopping cart. At present, the Uniwal Mall is for product display and collection purposes only, and does not support online ordering, payment, receipt of goods, or transaction reconciliation. If relevant transaction functions are launched in the future, they will be governed by the transaction rules separately published by the Mall, and this Agreement and the Uniwal Privacy Policy will be updated accordingly.
To provide you with more convenient services, Uniwal may send you service notifications, security reminders, and marketing information (with your consent) through the mobile number, email address, in-site message, or client push notifications you have provided. You may unsubscribe from marketing information following the relevant instructions.
In the course of using the Uniwal Services, you shall comply with the laws and regulations of the People's Republic of China, shall not use the Uniwal Services to engage in any unlawful or non-compliant acts, and shall not upload, publish, or disseminate the following information:
· (1) information that opposes the fundamental principles established by the Constitution, endangers national security, divulges state secrets, subverts state power, or undermines national unity;
· (2) information that damages national honor and interests, incites ethnic hatred or ethnic discrimination, or undermines ethnic solidarity;
· (3) information that undermines the state's religious policy or propagates cults and feudal superstition;
· (4) information that spreads rumors, disrupts social order, or undermines social stability;
· (5) information that disseminates obscenity, pornography, gambling, violence, homicide, terrorism, or incites crime;
· (6) information that insults, slanders, or infringes upon the reputation, portrait, intellectual property rights, trade secrets, or other legitimate rights and interests of others;
· (7) information that insults, slanders, or otherwise infringes upon the name, portrait, reputation, or honor of heroes and martyrs;
· (8) other content prohibited by laws and administrative regulations.
· (1) interfering with, attacking, or probing the normal operation of the Uniwal Services in any manner, or performing reverse engineering, decompiling, or disassembly;
· (2) scraping or copying data from the Uniwal Services through abnormal means such as crawlers or scripts without permission;
· (3) impersonating Uniwal or any third party, or counterfeiting or confusing Uniwal's brand or marks;
· (4) using the Uniwal Services for any unlawful purpose, or infringing upon the legitimate rights and interests of Uniwal or any third party.
You understand and agree that you shall be responsible for all acts conducted under your account. If your acts cause losses to Uniwal, other users, or any third party, you shall bear corresponding liability in accordance with the law.
The text, images, graphics, audio, video, software, trademarks, logos, layout designs, and website architecture contained in the Uniwal Services are protected by copyright, trademark, patent, and other relevant laws and regulations, and their intellectual property rights belong to Uniwal or the relevant right holders.
Without the written permission of Uniwal or the relevant right holder, you may not modify, copy, reprint, adapt, disseminate, sell, or use the aforementioned content for any commercial purpose.
The content you upload or publish on your own in the course of using the Uniwal Services shall have its intellectual property rights owned by you or the relevant right holder; however, you agree that Uniwal may store, display, and technically process such content to the extent necessary to provide the services.
Uniwal values and protects users' personal information. For details on how we collect, use, store, share, and protect your personal information, as well as the rights you enjoy, please refer to the Uniwal Privacy Policy.
By using the Uniwal Services, you indicate that you have read and understood the Uniwal Privacy Policy and agree that we will process your personal information in accordance with that policy.
Given the special nature of network services, Uniwal reserves the right to change, interrupt, or terminate part or all of the services at any time according to the needs of business development, without the need to notify users individually, and shall not thereby bear liability to users or any third party.
Uniwal may need to perform regular or irregular inspection and maintenance of the platforms or equipment providing the services. Uniwal will give prior notice of reasonable interruptions caused thereby to the extent possible, but shall not bear liability therefor.
If any of the following circumstances occurs, Uniwal reserves the right to interrupt or terminate the provision of services under this Agreement to you at any time without liability:
· (1) the registration information you provide is untrue or incomplete and is not corrected after notification;
· (2) you violate the usage rules of this Agreement or the Special Rules;
· (3) you are in violation of the law, or termination of service is required pursuant to a request from a state authority.
Uniwal does not warrant that the Uniwal Services will necessarily meet your requirements, nor that the services will be uninterrupted, and makes no express or implied warranty as to the timeliness, security, or accuracy of the services.
Uniwal does not guarantee the accuracy and completeness of external links; Uniwal assumes no liability for the content of web pages pointed to by external links that are not actually controlled by Uniwal.
Uniwal shall not be liable for losses caused by telecommunication/network failures, computer viruses, hacker attacks, force majeure, or any other cause beyond Uniwal's control, but will endeavor to mitigate the impact thereof.
You understand and agree that if you violate this Agreement or the Special Rules, Uniwal reserves the right, based on the circumstances of the violation and at its sole discretion, to take measures including but not limited to warning, function restriction, suspension or termination of services, account closure, and account cancellation, and reserves the right to pursue your liability in accordance with the law.
If your violation of this Agreement causes losses to Uniwal, other users, or third parties, you shall compensate for all losses thereby caused.
The formation, validity, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China (excluding conflict-of-law rules).
Any dispute arising from or in connection with this Agreement shall be resolved through friendly negotiation between the parties; if negotiation fails, either party may submit the dispute to the people's court with jurisdiction at the place of Uniwal's domicile for litigation.
Uniwal reserves the right to amend this Agreement from time to time in light of changes in laws and regulations and business adjustments. The amended Agreement will be published on the Official Website, and you may consult the latest version at any time.
After this Agreement is amended, if you continue to use the Uniwal Services, you shall be deemed to have accepted the amended Agreement; if you do not accept the amendments, you shall stop using the relevant services.
Uniwal may serve you with various rules, notices, and reminders relating to the services through Official Website announcements, in-site messages, email, or SMS. The aforementioned information shall be binding upon you from the date of sending or publication.
If any provision of this Agreement is found to be invalid or unenforceable, the validity of the remaining provisions shall not be affected, and the remaining provisions shall remain binding.
The headings of the provisions of this Agreement are for reading convenience only and shall not be used as a basis for interpretation.

The final right of interpretation of this Agreement belongs to Shanghai Suwalper Functional Decor Materials Co., Ltd.
